By purchasing Products from Gran Reserva Specialty Coffees, LLC or GranReservaCoffees.com ("GRSC"), You (the "Buyer") do hereby agree to all of the following Terms & Conditions.

I. CUSTOM-PRINTED PRODUCTS.

1.1. Custom-printed Product Purchase. Subject to the terms and conditions of this Agreement, GRSC hereby agrees to produce and sell to Buyer, and Buyer hereby agrees to purchase from GRSC, custom-printed Products bearing text, names, pictures, logos, and/or marks as selected by Buyer ("Buyer Marks"), such custom-printed product (the "Custom-printed Product") more specifically described on the order placed by Buyer on the GRSC website simultaneously with this Agreement (the "Order"). Buyer understands and agrees that the printing process used to apply the Buyer Marks may result in some variability in the Custom-printed Product. GRSC reserves the right to reject the production or sale of any Custom-printed Product that is deemed to be offensive or objectionable in the sole discretion of GRSC.

1.2. Custom-printed Product Sales. GRSC will only sell or distribute the Custom-printed Product to any third party ("GRSC Direct Sales") with Buyer's Approval as identified in the Buyer's Customer Profile by accepting the option "Yes" for "Sell Online".

1.3. Direct Sales Credits In the event that third party purchases of Buyer's Custom-Printed Product are made directly through GRSC Direct Sales, then GRSC will credit Buyer's account and/or issue a discount certificate to Buyer equal to 10% of the gross sales revenue (excluding any taxes, fees, or shipping costs) of that Custom-Printed Product. (the "Direct Sales Credits"). Buyer can apply these Direct Sales Credits as a discount to future purchases with GRSC. Direct Sale Credits have no cash value, and no cash refunds or payments will be made to the Buyer by GRSC. Direct Sales Credits will expire (1) year after the initial third party purchase that produced the Credits.

1.4. Direct Sales Limits In order to insure the sustainability and functionality of the GRSC website. GRSC reserves the right to limit the quantity or availability of any and all Buyer's custom-printed Products available through GRSC Direct Sales.

II. BUYER MARKS.

2.1. License. Buyer hereby grants to GRSC a royalty-free, limited, nonexclusive, nontransferable license to use the Buyer Marks upon the Custom-printed Product. No license is granted hereunder for any other use.

2.2. Buyer Marks Rights. Buyer represents and warrants to GRSC that (a) Buyer has the unrestricted right to grant the license described in Paragraph 2.1 above and (b) there are no third party claims challenging the validity or ownership of the Buyer Marks. During the term of this Agreement and thereafter, Buyer will indemnify and hold harmless GRSC and its employees, affiliates and agents, from and against any and all claims, suits, damages, liabilities, costs and expenses (including, but not limited to court costs and reasonable attorney fees) arising out of or in connection with any use of the Buyer Marks in accordance with this Agreement.

2.3. GRSC Marks Ownership. Buyer recognizes the great value of the goodwill associated with the GRSC marks "Gran Reserva 100% Arabica Coffee", "+PLUS+" and "GranReservaCoffees.com" and acknowledges that, as between GRSC and Buyer, the GRSC Marks and all rights therein and goodwill relating thereto belong exclusively to GRSC. All trademarks and other intellectual property rights relating to the Custom-printed Product (other than the Buyer Marks), including, but not limited to the GRSC Marks, will be and remain the exclusive property of GRSC. Buyer will not acquire any rights of any nature in such trademarks and other intellectual property as a result of its purchase or use of the Custom-printed Product hereunder. Buyer will not attempt to re-use, re-print or otherwise distribute the GRSC Marks in any form except as described in this agreement.


GRSC Website Use Agreement

All content included or available on this site, including but not limited to site design, text, graphics, interfaces, and the selection and arrangements thereof is the property of Gran Reserva Specialty Coffees, LLC (GRSC) and/or third parties protected by intellectual property rights. Any use of materials on the website, including reproduction for purposes other than those noted above, modification, distribution, or replication, any form of data extraction or data mining, or other commercial exploitation of any kind, without prior written permission of an authorized officer of GRSC is strictly prohibited. Buyers agree that they will not use any robot, spider, or other automatic device, or manual process to monitor or copy our web pages or the content contained therein without prior written permission of GRSC. Buyer assumes all knowledge of applicable law and is responsible for compliance with any such laws. Buyer may not use the Service in any way that violates applicable state, federal, or international laws, regulations or other government requirements. Buyer further agrees not to transmit any material that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national, or international law or regulation.
